Terms of Service

1. Agreement

By engaging BridgeFlow Agency for any service, you agree to be bound by these Terms of Service. BridgeFlow Agency is operated by Anasan Rai, based in Kathmandu, Nepal.

These terms constitute the entire agreement between you ("Client") and BridgeFlow Agency ("we", "us") for all services rendered. If you do not agree to these terms, do not proceed with engagement.

2. Services

BridgeFlow Agency provides custom AI automation services, including but not limited to:

• AI voice agent design and deployment
• CRM setup and pipeline automation
• Workflow automation builds
• Lead qualification systems for real estate and clinic businesses

The specific scope of work for each engagement is defined in a written project brief or proposal agreed upon prior to commencement. Any work outside that scope is subject to additional fees.

3. Payment Terms

All projects operate on the following payment structure:

• A setup fee is due in full before any work begins
• Ongoing retainer fees are invoiced monthly and due within 7 days of invoice date
• All prices are quoted in USD unless otherwise agreed in writing
• Work will not commence or continue if payment is outstanding

Late payments may result in work suspension. BridgeFlow reserves the right to charge a late fee of 5% per month on overdue balances.

4. Refund Policy

All sales are final. No refunds will be issued once work has commenced. This includes partial refunds for work in progress, unused retainer days, or change-of-mind cancellations.

In the event of a dispute over deliverable quality, BridgeFlow will make reasonable efforts to revise the work within the agreed scope before any further action is considered.

5. Intellectual Property & Ownership

Upon receipt of full payment, the Client owns all final deliverables produced for their specific project, including:

• Custom automation workflows built for the Client's accounts
• AI agent configurations and prompt systems
• Documentation and handover materials

BridgeFlow Agency retains the right to reuse, adapt, and apply general workflow patterns, system architectures, and methodologies developed during the engagement in future projects for other clients. No proprietary Client data or identifiable business logic will be shared or reused.

6. Confidentiality

BridgeFlow will treat all Client business information, data, and credentials as strictly confidential. We will not disclose any information to third parties without your explicit written consent, except where required by law.

7. Client Responsibilities

The Client agrees to:

• Provide timely access to accounts, platforms, and assets required for the project
• Respond to questions and review requests within a reasonable timeframe
• Ensure all credentials and data shared are authorised for use

Delays caused by late Client responses or access issues will extend delivery timelines accordingly and are not the responsibility of BridgeFlow.

8. Limitation of Liability

BridgeFlow Agency is not liable for:

• Revenue loss or business interruption of any kind
• Outages or changes to third-party platforms used in the automation stack
• Data loss on platforms owned or managed by the Client
• Results or outcomes dependent on market conditions outside our control

Our total aggregate liability in any circumstance is limited to the fees paid by the Client in the 30 days preceding the claim.

9. Termination

Either party may terminate an ongoing retainer engagement with 30 days written notice sent to hello@bridgeflow.agency. All outstanding invoices become immediately due upon termination. Work-in-progress at the time of termination will be delivered in its current state with no further obligation from BridgeFlow.

10. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Nepal. Any disputes arising from or in connection with these terms shall be resolved through good-faith negotiation in the first instance. If a resolution cannot be reached, disputes will be subject to the jurisdiction of the courts of Kathmandu, Nepal.

11. Changes to These Terms

BridgeFlow reserves the right to update these terms at any time. Clients will be notified of material changes by email. Continued engagement after notification constitutes acceptance of the updated terms.
